The Good2Go Pro program (the “Program”) is offered at the sole discretion of Good2Go, Inc. The Program can be accessed at https://good2go.zuberance.com/community (the Good2Go Pro Website) and allows registered users to participate in social media activities, surveys, and/or to respond to other Good2Go requests as more fully described at the Good2Go Pro Website. The Good2Go Pro Website may also include certain other content, features, or services. The Program provides varying levels of point rewards, redeemable for third-party goods and/or services, based upon the successful completion of certain identified activities (each, a “Point Earning Activity”) at the request of Good2Go. The terms “you” and “your” throughout these terms and conditions refer to the owner of an Advocate Account (defined below). This document provides the terms and conditions governing the Program (“Program Terms”) and your Advocate Account.

These Program Terms govern your membership in the Program and your use of the Good2Go Pro Website and any related mobile applications. By participating in the Program, including registration of an Advocate Account, you accept these Program Terms which may change, in Good2Go’s discretion. This means that Good2Go has the right to terminate, change, limit, or otherwise amend the Program (including to expire Points earned) at any time in its discretion, and expressly reserves the right to cancel the Program at any time. If a change occurs, your continued participation in the Program shall constitute your agreement to the changes. The Program has no predetermined termination date and may continue until such time as Good2Go decides to terminate the Program.

Standard Terms. These Program Terms are in addition to the following standard terms and conditions (“Standard Terms”): Privacy Policy located at https://www.bgood2go.com/privacy and Terms of Service located at https://www.bgood2go.com/terms. In connection with your participation in the Program, you accept and agree to the Standard Terms which include, among others, User Contributions, Limitations on Liability, Mandatory Arbitration, and other terms regarding the waiver of your right to pursue disputes via Class Action and/or Trial by Jury, as well as terms regarding the collection and use of your information (name, email address, etc.) under the Program. Good2Go reserves the right to change, modify, update or discontinue these Program Terms and all or part of the Program at any time without notice, effective immediately upon posting the revisions to https://good2go.zuberance.com/community. You should periodically check the Program Terms located at https://good2go.zuberance.com/community for changes. Continued participation in the Program constitutes your acceptance of the changes. To the extent these Program Terms conflict with any Standard Terms, the Program Terms will control.

Eligibility. The Program is open only to people: (i) who are invited by Good2Go; and (ii) who are 18 years of age or older and the age of majority in their jurisdiction of residence. Limit one (1) user account (an “Advocate Account”) per person. If multiple Advocate Accounts are detected for a single registered member, Good2Go may choose to void such accounts. The authorized Advocate Account holder is the individual natural person who is assigned to the email address by an Internet access provider, online service provider, or other organization that is responsible for assigning an email address or the domain associated with the submitted email address. In the event of a dispute about the identity of a Good2Go Pro member, Good2Go may require that the member provide proof that he/she is the authorized account holder of the email address and/or password associated with the account. Each user who properly completes the registration process will be considered a member for the purposes of these Program Terms. Good2Go may refuse to offer or continue offering the Program to any person and may change its eligibility criteria from time to time.

Registration. To become an “Advocate,” you must complete the registration process and create an Advocate Account by providing Good2Go with complete and accurate information, as required in the registration form on the Good2Go Pro Website. You may be required to provide your name and zip code, username, password, email address and certain additional information, such as preferred contact method. Good2Go may elect to refuse to register any user as an Advocate, in its sole discretion. You may also elect to provide information related to your social networking accounts (e.g., Twitter, Facebook and Instagram) as well as mailing address to receive rewards. Upon acceptance of your Advocate Account registration, Good2Go will provide access credentials for the Program to you. You are solely responsible for maintaining the confidentiality of your Program access credentials and other account information. You agree to keep all account information up-to-date. You also agree to notify Good2Go immediately of any unauthorized use of your Good2Go Pro account or any other breach of security.

Earning Points.
a. The Program provides Advocates an opportunity to accumulate, purchase and/or redeem rewards points (“Points”) on an individual basis for your own Advocate Account. Good2Go may establish criteria by which you may earn Points in return for completing certain Point Earning Activity (e.g., by registering for Good2Go Pro; for engaging in specified activities such as creating and/or sharing content (subject to Good2Go Pro provisions and Good2Go’s sole discretion); and/or participating in other activities designated by Good2Go).
b. An explanation of how Points may be earned for certain challenges will be set forth with each specific challenge. Generally: (a) for each Point Earning Activity offered to you by Good2Go, you will receive the number of Points disclosed to you upon on the successful completion of the Point Earning Activity; (b) Points can only be used toobtain Rewards (as described below); and (c) the Points offered for a Point Earning Activity are determined by Good2Go in its sole discretion and are subject to change. Points are awarded after Good2Go has verified your successful completion of the applicable activity and compliance with these and other applicable terms and conditions. There will be a reasonable delay between completion of the Point Earning Activity and when Points are posted to your Advocate Account.
c. Points will be automatically and forever forfeited upon termination of the Program or termination of your Advocate Account. Additionally, Points may expire and become non-redeemable after a specified period of time as determined by Good2Go in its sole discretion. Points are not transferable or assignable. The sale or barter of any Points, other than by Good2Go, is prohibited. Good2Go is not responsible for your inability or failure to accept, redeem, and/or use Points or Rewards for any reason, including any third-party’s terms and conditions and/or the terms of business or operations pertinent to the redemption of a particular Reward (described below).
d. Point Balances: Good2Go reserves the right to adjust your Point balance. If you have been awarded Points in error or if you believe your Advocate Account has been the subject of any Suspicious Activity by others, you must contact Good2Go immediately at contact@bgood2go.com.
6. Rewards.
a. Subject to change, Good2Go may offer benefits to Advocates in exchange for redemption of a specified number of Points (“Rewards”). The nature of the Rewards and the number of Points required to obtain such Rewards will be established by Good2Go and communicated to you with the specific offer. Except as provided below: (i) Points attributed to any Reward are considered redeemed at the moment you submit for the Reward; and (ii) redeemed Points are non-refundable. The Rewards offered through the Program and the number of Points required for a given Reward are subject to change within Good2Go’s sole discretion and without notice to you.
b. Confirmation of Rewards. In certain instances, after you have chosen to redeem Points for a Reward, you may be required to separately confirm your acceptance of the Reward. If you experience difficulties confirming the acceptance of the Reward please contact contact@bgood2go.com. If in the manner requested and by the applicable deadline, the Points will be credited back to your Advocate Account within a reasonable time after expiration of the deadline. To the extent Points may be earned for activity on social media platforms (e.g., Facebook, Twitter, or Instagram), Good2Go’s ability to accurately credit Points to your Advocate account based on such activities may be restricted by the terms, conditions or functions of such social media platforms.
c. All Rewards are provided “AS IS.” Rewards consist only of the items listed, are non- transferable, non-refundable, not returnable, and have no cash redemption or
substitution except at Good2Go’s sole discretion. Rewards may be subject to expiration dates and terms and restrictions on use, as reflected thereon. Redemption offers may be limited by time or supply. Rewards are subject to availability. Good2Go reserves the right, in its sole discretion, to delete, add, modify or substitute goods or services offered in exchange for redemption of Points at any time and for any reason. Federal, state, or local taxes on Rewards, if any, and any other costs, fees, or expenses not expressly included as part of Rewards are the sole responsibility of the participant.
d. The redemption of Points may result in your receipt of taxable income from Good2Go. In accordance with U.S. tax law, Good2Go may require you to complete a Form 1099- MISC. The valuation of any Rewards for tax reporting purposes will be determined at Good2Go’s sole discretion
e. The decisions of Good2Go with respect to the Points and Rewards Program are final and binding in all respects.
7. Advocate Account Activity.
a. Your Advocate Account will be automatically terminated (and your entire Point balance forfeited) without notice to you if no Points have been redeemed from or deposited to your Advocate Account for a twelve-month period.
b. Good2Go has the right to monitor all Advocate Account activity. If required by law, regulation, subpoena, or other legal instrument, Good2Go may freeze your Advocate Account. If within the determination of Good2Go your Advocate Account shows signs of fraud, abuse, violation of these Terms or suspicious activity (“Suspicious Activity”), you may lose your accrued Points, access to your Advocate Account, and the possibility of any future participation in the Program. Good2Go reserves the right to take any legal action it deems necessary in connection with Suspicious Activity and may have grounds to confiscate any Rewards redeemed as a result of such activity. Further, you may be liable for monetary losses to Good2Go, including litigation costs and damages.
8. Advocate-Generated Content/Representations and Warranties.
a. To the extent your participation in the Program includes creating and/or posting any content to websites or social media platforms, including but not limited to social media posts, Tweets, blog posts or other content created by you (collectively, “Materials”), you grant Good2Go and its affiliates, business partners, and service providers, and each of their and our respective licensees, successors and assigns the royalty-free, exclusive, sub-licensable, unconditional, worldwide, irrevocable, transferable right and license to:
(i) reproduce, distribute, prepare derivatives of, perform publicly, and
use the Materials; and
(ii) use your name, nickname(s), handle and avatar, likeness and images, and any other means of personal identification or indicia of you;
in connection with the Program for any advertising, promotional or commercial purposes, throughout the world in any and all media, now known or hereafter devised, on the internet, without further notice to or consent from you, and without payment to you or any person or entity.
b. You further represent and warrant that:
i. the Materials are original;
ii. the Materials do not and will not infringe upon or violate the copyright, trademark, patent, right of publicity or privacy, or any other right of any person or entity; and
iii. you own and control the Materials and all rights to them throughout the world and have the legal authority to grant the rights to Good2Go hereunder.
c. Additionally, you represent and warrant that you will comply with the Federal Trade Commission’s Guides Concerning the Use of Endorsements and Testimonials in Advertising (“FTC Guides”). Accordingly, you will:
i. Clearly and conspicuously disclose your true identity and that you have received incentives from Good2Go. At a minimum, Influencer shall “tag” Good2Go (@Good2GoSF) in all posts appearing on any social media platforms channel(s) and the disclosures shall appear as follows: (1) Facebook: all posts should state “Sponsored by Good2Go”; and (2) Instagram: all posts should include a hashtag such as “#sponsored” or “#ad”. Good2Go reserves the right to immediately terminate your Advocate Account if you fail to make the disclosures in the manner set forth in the FTC Guides and these Program Terms.
ii. Not make any false, misleading or deceptive statement and not make any product performance or attribute claims about Good2Go products or services. You may express opinions, but will not make any factual claims about the products or services;
iii. Ensure that the Materials, accurately reflects your honest, current opinions and beliefs based on your personal experience with Good2Go’s products;
iv. Not purport to speak on behalf of Good2Go, its representatives or agents; and
devised, on the internet,
v. Ensure that the Materials are presented in a manner appropriate for a family audience.
d. Good2Go takes no responsibility and assumes no liability for any Advocate-Generated Content posted by you or any other member. Good2Go has no obligation to pre- screen, authenticate, validate, monitor, moderate or edit any Advocate-Generated Content. However, Good2Go and its agents have the right to remove at any time, or direct you to remove at any time, any Advocate-Generated Content that, in Good2Go judgment, does not comply with the Program Terms or for any other reason. Good2Go is not responsible for any failure or delay in removing any Advocate-Generated Content, except as provided under the Digital Millennium Copyright Act; see the Standard Terms for the takedown procedure. You should not post any confidential content or other proprietary information that you desire to (or should) keep secret.
9. Termination. Good2Go may terminate your access to all or any part of the Program at any time, for any reason and without notice, effective immediately. If an Advocate wishes to terminate his or her Advocate account, the Advocate may do so at any time by sending an email to Good2Go@zuberance.com that includes the Advocate’s e-mail address and specifically requests Advocate account termination. Upon termination of an Advocate account for any reason, all Points are lost to the extent permitted by law, regardless of how acquired. Upon termination, all rights and obligations of the parties will cease and the Advocate will immediately stop using the Program, except that all obligations that accrued prior to the effective date of termination and all remedies for breach of the Program Terms will survive. After termination, Good2Go has no obligation to maintain any content in the Advocate account (including without limitation, records regarding Points, which will be irrevocably forfeited) or to forward any unread or unsent messages to the Advocate or any other user or third party.
10. RELEASE OF LIABILITY/DISCLAIMER OF WARRANTIES. YOU AGREE THAT GOOD2GO, INC., ZUBERANCE, INC., THEIR PARENT AND AFFILIATED ENTITIES, AND THEIR RESPECTIVE AGENTS, LICENSEES, VENDORS, MEMBERS, OFFICERS, DIRECTORS, EMPLOYEES, INDEPENDENT CONTRACTORS AND REPRESENTATIVES (COLLECTIVELY, THE “RELEASED PARTIES”) WILL HAVE NO LIABILITY OR RESPONSIBILITY WHATSOEVER FOR, AND SHALL BE HELD HARMLESS AGAINST, ANY LIABILITY FOR ANY INJURIES, LOSSES OR DAMAGES OF ANY KIND (INCLUDING WITHOUT LIMITATION, DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE OR EXEMPLARY DAMAGES) TO PERSONS, INCLUDING PERSONAL INJURY OR DEATH, OR PROPERTY, ARISING IN WHOLE OR IN PART, DIRECTLY OR INDIRECTLY, FROM ACCEPTANCE, POSSESSION, MISUSE OR USE OF A REWARD, AND/OR PARTICIPATING IN THE PROGRAM OR IN PROGRAM-RELATED ACTIVITIES. YOU ACCEPT AND AGREE THAT: (A) THE RELEASED PARTIES ARE NOT RESPONSIBLE IF ANY REWARD CANNOT BE AWARDED FOR ANY REASON; (B) IN NO EVENT SHALL THE RELEASED PARTIES BE LIABLE FOR ANY DELAY IN OR FAILURE TO PERFORM DUE TO CAUSES BEYOND THE RELEASED PARTIES' CONTROL, INCLUDING, WITHOUT LIMITATION, ANY ACT OF GOD,
ACT OF WAR, STRIKE OR LABOR DISPUTE, NATURAL DISASTER, WEATHER, TERRORISM, OR ANY ACT OR OMISSION OF A THIRD PARTY; AND (C) GOOD2GO AND EACH OTHER RELEASED PARTY MAKES NO REPRESENTATIONS OR WARRANTIES, EXPRESS OR IMPLIED, WITH RESPECT TO THE MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE OR ANY OTHER REASON WITH RESPECT TO THE PROGRAM, POINTS, REWARDS AND/OR THE PROGRAM.

1. Acceptance of the Terms of Service
These Terms of Service are entered into by and between You and Good2Go, Inc. ("Good2Go", "we" or "us"). The following terms and conditions, together with any documents they expressly incorporate by reference (collectively, these "Terms of Service"), govern your access to and use of Good2Go’s technology platform that is designed to help users identify and locate nearby restrooms in urban areas including any functionality, features and services offered on or through our websites or applications that we make available to you (collectively, with our website and applications the "Services”), whether as a guest or a registered user.
Please read the Terms of Service carefully before you start to use the Services.
THESE TERMS OF SERVICE CONTAIN AN ARBITRATION PROVISION IN SECTION 28. BY USING THE SERVICES OR BY CLICKING TO ACCEPT OR AGREE TO THE TERMS OF SERVICE WHEN THIS OPTION IS MADE AVAILABLE TO YOU, YOU ACCEPT AND AGREE TO BE BOUND AND ABIDE BY THESE TERMS OF SERVICE AND OUR PRIVACY POLICY, FOUND ON OUR WEBSITE INCORPORATED HEREIN BY REFERENCE. If you do not want to agree to these Terms of Service or the Privacy Policy, you must not access or use the Services.
2. Changes to the Terms of Service
We may revise and update these Terms of Service from time to time in our sole discretion. Unless we state otherwise in our notice to you, all changes are effective immediately when we post them on our website and apply to all access to and use of the Services thereafter. However, any changes to the dispute resolution provisions set forth in Governing Law and Jurisdiction will not apply to any disputes for which the parties have actual notice on or prior to the date the change is posted on the Services.
Your continued use of the Services following posting of revised Terms of Service means that you accept and agree to the changes.
3. Your Privacy
All information we collect through the Services is subject to our Privacy Policy found on our website. By using the Services, you consent to all actions taken by us with respect to your information in compliance with the Privacy Policy.
4. The Services
The Services enable users to identify and locate nearby restrooms and facilities that are made available by businesses under agreement with Good2Go (“Business Partners”) and to obtain access (or purchase access) to such restrooms or facilities. YOU ACKNOWLEDGE AND AGREE THAT ALTHOUGH THE SERVICES MAY PROVIDE YOU WITH THE ABILITY TO OBTAIN ACCESS TO OUR BUSINESS PARTNERS’ RESTROOMS AND FACILITIES, GOOD2GO IS NOT A PROVIDER OF SUCH RESTROOMS AND FACILITIES.
5. Accessing and Using the Services
We reserve the right to withdraw or amend the Services, and any content, information, or other materials we provide through or in connection with the Services (“Service Content”) including the Good2Go App, in our sole discretion without notice. We will not be liable if for any reason all or any part of the Services or Service Content is unavailable at any time or for any period. From time to time, we may restrict access to some or all parts of the Services or Service Content.
To access the Services, you may be asked to create an account by providing certain registration details or other information. You may register an account with us directly, or we may allow you to register for an account by using a social media or other third-party account (e.g., Facebook, Google, Twitter, etc.) to provide us with your information. Additional terms may apply if you choose to create an account with us by using one of your social media or other third-party accounts.
Regardless of whether you register with us or use the Services as a guest, it is a condition of your use of the Services that all the information you provide on the Services is correct, current and complete. You agree that all information you provide to register with the Services or through or in connection with the Services is governed by our Privacy Policy and you consent to all actions we take with respect to your information consistent with our Privacy Policy.
If you choose, or are provided with, a user name, password or any other piece of information as part of our security procedures, you must treat such information as confidential, and you must not disclose it to any other person or entity. You also acknowledge that your account is personal to you and agree not to provide any other person with access to the Services or portions of it using your user name, password or other security information. You agree to notify us immediately of any unauthorized access to or use of your user name or password or any other breach of security.
We have the right to disable any user name, password or other identifier, whether chosen by you or provided by us, at any time in our sole discretion for any or no reason, including if, in our opinion, you have violated any provision of these Terms of Service.
6. Good2Go App
License. As part of the Services, users are able to download and use the Good2Go mobile application (the “Good2Go App”). Subject to the terms of this Agreement, Good2Go grants you a limited, revocable, non-exclusive and nontransferable license in the United States to
(a) download, install, and use the Good2Go App for your personal, non-commercial use on a single mobile device owned or otherwise controlled by you (“Mobile Device); and (b) access and use the Services and Service Content made available on such Mobile Device through the Good2Go App, strictly in accordance with these Terms of Service.
Restrictions. You shall not: (a) copy the Good2Go App, except as expressly permitted by this license; (b) modify, translate, adapt, or otherwise create derivative works or improvements, whether or not patentable, of the Good2Go App; (c) reverse engineer, disassemble, decompile, decode, or otherwise attempt to derive or gain access to the source code of the Good2Go App or any part thereof; (d) remove, delete, alter, or obscure any trademarks or any copyright, trademark, patent, or other intellectual property or proprietary rights notices from the Good2Go App, including any copy thereof; (e) rent, lease, lend, sell, sublicense, assign, distribute, publish, transfer, or otherwise make available the Good2Go App, or any features or functionality of the Good2Go App, to any third party for any reason, including by making the Good2Go App available on a network where it is capable of being accessed by more than one device at any time; (f) remove, disable, circumvent, or otherwise create or implement any workaround to any copy protection, rights management, or security features in or protecting the Good2Go App; or (g) use the Good2Go App in, or in association with, the design, construction, maintenance, or operation of any hazardous environments or systems, including any power generation systems; aircraft navigation or communication systems, air traffic control systems or any other transport management systems; safety-critical applications, including medical or life- support systems, vehicle operation applications or any police, fire, or other safety response systems; and military or aerospace applications, weapons systems, or environments.
Reservation of Rights. You acknowledge and agree that the Good2Go App is provided under license, and not sold, to you. You do not acquire any ownership interest in the Good2Go App under these Terms of Service, or any other rights thereto other than to use the Good2Go App in accordance these Terms of Service and the license granted herein. All other rights are expressly reserved to Good2Go and its licensors.
Updates. Good2Go may from time to time in its sole discretion develop and provide Good2Go App updates, which may include upgrades, bug fixes, patches, other error corrections, and/or new features (collectively, including related documentation, "Updates"). Updates may also modify or delete in their entirety certain features and functionality. You agree that Good2Go has no obligation to provide any Updates or to continue to provide or enable any particular features or functionality. Based on your Mobile Device settings, when your Mobile Device is connected to the internet either: (a) the Good2Go App will automatically download and install all available Updates; or (b) you may receive notice of or be prompted to download and install available Updates. You shall promptly download and install all Updates and acknowledge and agree that the Good2Go App or portions thereof may not properly operate should you fail to do so. You further agree that all Updates will be deemed part of the Good2Go App and be subject to all terms and conditions of these Terms of Service.
Export Regulations. The Good2Go App may be subject to US export control laws, including the US Export Administration Act and its associated regulations. You shall not, directly or
indirectly, export, re-export, or release the Good2Go App to, or make the Good2Go App accessible from, any jurisdiction or country to which export, re-export, or release is prohibited by law, rule, or regulation. You shall comply with all applicable federal laws, regulations, and rules, and complete all required undertakings (including obtaining any necessary export license or other governmental approval), prior to exporting, re-exporting, releasing, or otherwise making the Good2Go App available outside the US.

. Text Messaging
By using the Good2Go App or by otherwise providing us with your mobile phone number in connection with your use of the Services, you agree that we may communicate with you regarding Good2Go and other entities by SMS, MMS, text message or other electronic means to your Mobile Device and that certain information about your usage of the Good2Go App and our Services may be communicated to us. In the event you change or deactivate your mobile telephone number, you agree to promptly update your Good2Go account information to ensure that your messages are not sent to the person that acquires your old number. You may stop text messages from us by contacting us by mail at 540 Hampshire Street, San Francisco CA 94110. However, if you opt out of receiving text messages from us, your ability to use the Services may be impacted.
8. Mobile Device Access
To the extent you access the Services through a Mobile Device, your wireless service carrier’s standard charges, data rates and other fees may apply. In addition, downloading, installing, or using certain mobile services or applications may be prohibited or restricted by your carrier, and not all mobile services or applications may work with all carriers or devices. In the event you change or deactivate your mobile telephone number, you agree to promptly update your Good2Go account information to ensure that your messages are not sent to the person that acquires your old number.
9. Good2Go Pro
Good2Go may invite you to participate in its Good2Go Pro program (“Good2Go Pro”) as an “Advocate” for Good2Go and its Services. The Good2Go Pro program is governed by the Good2Go Pro Terms of Use, which are hereby incorporated into these Terms of Use.
10. Intellectual Property
The Services, Service Content, Good2Go Pro, and all rights therein are owned by the Good2Go, its licensors or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret and other intellectual property or proprietary rights laws.
Subject to your compliance with these Terms of Service, Good2Go grants you a limited, revocable, non-exclusive and non-transferable license in the United States to access and
use the Services, Service Content, and Good2Go Pro solely for your personal, non- commercial use. No right, title or interest in or to the Services, any Service Content, or Good2Go Pro is transferred to you, and all rights not expressly granted are reserved by the Good2Go and its licensors. Any use of the Services, Service Content, and/or Good2Go Pro not expressly permitted by these Terms of Service is a breach of these Terms of Service and may violate copyright, trademark and other laws.
You must not:

Modify the Services or any Service Content; or

Delete or alter any copyright, trademark or other proprietary rights notices from the
Services, any Service Content, or Good2Go Pro.
11. Trademarks
The Good2Go name and the Good2Go logo and all related names, logos, product and service names, designs and slogans are trademarks of the Good2Go or licensors. You must not use such marks without the prior written permission of the Good2Go. All other names, logos, product and service names, designs and slogans on the Services are the trademarks of their respective owners.
12. Promo Codes
Good2Go may, in its discretion, provide you with codes from time to time which allow you to use our Services without or with reduced payment (“Promo Codes”). You agree that Promo Codes are personal to you and may not be sold, transferred, or shared with third parties. Without limiting the foregoing, you agree not to post Promo Codes on websites or otherwise share them with the public. Promo Codes have no cash value and may expire prior to your use. Promo Codes may be subject to additional terms and conditions. We reserve the right to disable a Promo Code that has been issued at any time and for any reason.
13. Fees and Payment; No Refunds
Good2Go offers several different purchase options for use of the Services. Such options and the fees associated with them are posted on our website and in the Good2Go App in US Dollars.
You may pay for the Services by credit card or with your PayPal account. You represent and warrant to Good2Go that any payment information you provide to Good2Go is true and correct that you are authorized to use such payment account. You agree to promptly update your account information with any changes that maybe necessary (for example, a change in your billing address or credit card expiration date).
Good2Go may now or in the future make subscription plans available that automatically renew (“Recurring Subscription”). If we make Recurring Subscription plans available, the subscription periods and associated fees will be posted on our website. If you purchase a
Recurring Subscription, then you authorize Good2Go to renew your subscription and bill your payment account on the subscription renewal date until you cancel your subscription. You may cancel a Recurring Subscription at any time by logging into your account and following the instructions to cancel your subscription. Following such cancellation, you will continue to have access to the Services through the end of the current billing period for the subscription.
FEES PAID BY YOU ARE NON-REFUNDABLE. However, from time to time and in our sole discretion, we may choose to provide to you with a one-time refund, discount, or other consideration (“credit”). The provision of a credit to you in one instance does not entitle you to a credit in the future for a similar instance, nor does it obligate us to provide credits in the future, under any circumstance. If you dispute any charges for the Services, you must let Good2Go know no later than sixty (60) days after the statement date where the disputed Good2Go charges appear, or such earlier date as your payment account agreement provides. You shall be responsible for all taxes associated with the Services other than U.S. taxes based on Good2Go’s net income.
14. User Conduct
You may use the Services, Service Content, and Good2Go Pro only for lawful purposes and in accordance with these Terms of Service. You agree not to use the Services, Service Content, or Good2Go Pro:

In any way that violates any applicable federal, state, local or international law or regulation (including, without limitation, any laws regarding the export of data or software to and from the US or other countries)

For the purpose of exploiting, harming or attempting to exploit or harm minors in any way by exposing them to inappropriate content, asking for personally identifiable information or otherwise.

To engage in any other conduct that restricts or inhibits anyone's use or enjoyment of the Services, Service Content, or Good2Go Pro, or which, as determined by us, may harm the Good2Go or users of the Services or Good2Go Pro or expose them to liability.

Use the Services or Good2Go Pro in any manner that could disable, overburden, damage, or impair the site or interfere with any other party's use of the Services or Good2Go Pro, including their ability to engage in real time activities through the Services and/or Good2Go Pro.

Use any robot, spider or other automatic device, process or means to access the Services or Good2Go Pro for any purpose, including monitoring or copying any Service Content.

Use any manual process to monitor or copy any of the material on the Services or Good2Go Pro or for any other unauthorized purpose without our prior written consent.

Use any device, software or routine that interferes with the proper working of the Services or Good2Go Pro.

Introduce any viruses, Trojan horses, worms, logic bombs or other material which is malicious or technologically harmful.

Attempt to gain unauthorized access to, interfere with, damage or disrupt any parts of the Services, Good2Go Pro, the servers on which the Services, Service Content, or Good2Go Pro are stored, or any server, computer or database connected to the Services.

Attack the Services or Good2Go Pro via a denial-of-service attack or a distributed denial-of-service attack.

Otherwise attempt to interfere with the proper working of the Services or Good2Go Pro.
You understand and agree that your use of the Services, Service Content, and/or Good2Go Pro while operating a motor vehicle (or during any other activity that requires your attention) may be distracting, dangerous, or prohibited by law. You are solely responsible for your exercising good judgment, acting in a safe and responsible manner, and obeying all laws and regulations at all times. You understand that failing to pay full attention in the operation of a vehicle or in other activities may cause an accident, damage, injury, death, or other serious consequences. You assume sole responsibility for your use of the Services, Service Content, and Good2Go Pro.
Further, you agree:

To comply with all applicable laws and regulations in connection with your use of Good2Go’s Business Partners’ restrooms and facilities.

Not to engage in any conduct that restricts or inhibits anyone's use or enjoyment of any of our Business Partners’ restrooms or facilities, or which, as determined by us or any of our Business Partners, may harm our Business Partner, its customers, other individuals or expose any of them to liability.

Not to attempt to gain unauthorized access to, interfere with, damage or disrupt any part of any of our Business Partners’ facilities or restrooms or proper working or use of the same.

Not to attempt to interfere with the proper working or use of our Business Partners’ facilities or restrooms.

Not to cause nuisance, annoyance, inconvenience, or property damage to any of our Business Partners’ including, without limitation, to any of their restrooms or facilities.
15. User Contributions
Good2Go may, in its sole discretion, permit you from time to time to post, submit, publish, display or transmit (hereinafter, "submit") to Good2Go through the Services or Good2Go Pro content or materials including, without limitation, feedback or ratings related to the Services, Good2Go Pro, or restrooms that you access through your use of the Services and requests for support (collectively, "User Contributions").
Any User Contribution you submit will be considered non-confidential and non- proprietary. By providing any User Contribution on the Services or Good2Go Pro, you grant us and our affiliates, business partners, and service providers, and each of their and our respective licensees, successors and assigns the right to use, reproduce, modify, perform, display, distribute and otherwise disclose to third parties any such material for any purpose, without further notice to or consent from you, and without payment to you or any person or entity.
You represent and warrant that:

You either own or control all rights in and to the User Contributions or have the right to grant the license granted above to us and our affiliates, business partners, and service providers, and each of their and our respective licensees, successors and assigns;

Your User Contributions will not contain any material which is defamatory, obscene, indecent, abusive, offensive, harassing, violent, hateful, inflammatory or otherwise objectionable or otherwise violate the legal rights (including the rights of publicity and privacy) of others or contain any material that could give rise to any civil or criminal liability under applicable laws or regulations;

Neither your User Contributions nor use of your User Contributions as contemplated herein will infringe any patent, trademark, trade secret, copyright or other intellectual property or other rights of any other person or entity; and

All of your User Contributions do and will comply with these Terms of Service.
You understand and acknowledge that you are responsible for any User Contributions you submit or contribute, and you, not the Good2Go, have fully responsibility for such content, including its legality, reliability, accuracy and appropriateness.
We are not responsible, or liable to any third party, for the content or accuracy of any User Contributions submitted by you or any other user of the Services or Good2Go Pro.
16. Copyright Infringement
We take claims of copyright infringement seriously. We will respond to notices of alleged copyright infringement that comply with applicable law. If you believe any materials accessible on or from our Services or Good2Go Pro infringes your copyright, you may request removal of those materials (or access to them) from the Services or Good2Go Pro by submitting written notification to our Copyright Agent that is designated below. It is the policy of Good2Go to terminate the accounts of repeat infringers.
In accordance with the Online Copyright Infringement Liability Limitation Act of the Digital Millennium Copyright Act (17 U.S.C. § 512) (“DMCA”), the written notice (the “DMCA Notice”) must include substantially the following:

Your physical or electronic signature.

Identification of the copyrighted work you believe to have been infringed or, if the
claim involves multiple works on the Services or Good2Go Pro, a representative list of such works.

Identification of the material you believe to be infringing in a sufficiently precise manner to allow us to locate that material.

A statement that you have a good faith belief that use of the copyrighted material is not authorized by the copyright owner, its agent, or the law.

If you fail to comply with all of the requirements of Section 512(c)(3) of the DMCA, your DMCA Notice may not be effective. Please be aware that if you knowingly materially misrepresent that material or activity on the Services is infringing your copyright, you may be held liable for damages (including costs and attorneys’ fees) under Section 512(f) of the DMCA.

17. Monitoring and Enforcement; Termination
We have the right to:

Remove or refuse to post any User Contributions for any or no reason in our sole discretion.

Take any action with respect to any User Contribution that we deem necessary or appropriate in our sole discretion, including if we believe that such User Contribution violates the Terms of Service, infringes any intellectual property right or other right of any person or entity, threatens the personal safety of users of the Services, Good2Go Pro, or the public, or could create liability for Good2Go.

Disclose your identity or other information about you to any third party who claims that material posted by you violates their rights, including their intellectual property rights or their right to privacy.

Take appropriate legal action, including without limitation, referral to law enforcement, for any illegal or unauthorized use of the Services or Good2Go Pro.

Terminate or suspend your access to all or part of the Services or Good2Go Pro for any or no reason, including without limitation, any violation of these Terms of Service.
Without limiting the foregoing, we have the right to fully cooperate with any law enforcement authorities or court order requesting or directing us to disclose the identity or other information of anyone posting any materials on or through the Services or Good2Go
Pro. YOU WAIVE AND HOLD HARMLESS GOOD2GO AND ITS AFFILIATES, BUSINESS PARTNERS, LICENSORS AND SERVICE PROVIDERS FROM ANY CLAIMS RESULTING FROM ANY ACTION TAKEN BY GOOD2GO AND ANY OF THE FOREGOING PARTIES DURING OR AS A RESULT OF ITS INVESTIGATIONS AND FROM ANY ACTIONS TAKEN AS A CONSEQUENCE OF INVESTIGATIONS BY EITHER GOOD2GO OR LAW ENFORCEMENT AUTHORITIES.
However, we do not undertake to review all material before it is posted on the Services or through Good2Go Pro and cannot ensure prompt removal of objectionable material after it has been posted. Accordingly, we assume no liability for any action or inaction regarding transmissions, communications, or content provided by any user or third party. We have no liability or responsibility to anyone for performance or nonperformance of the activities described in this section.
18. Reliance on Information Posted
The information presented on or through the Services or Good2Go Pro is made available solely for general information purposes. We do not warrant the accuracy, completeness or usefulness of this information. Any reliance you place on such information is strictly at your own risk. We disclaim all liability and responsibility arising from any reliance placed on such materials by you or any other visitor to the Services or Good2Go Pro, or by anyone who may be informed of any of its contents.
The Services (including Good2Go Pro) may include content provided by third parties, including materials provided by other users and third-party licensors. All statements and/or opinions expressed in these materials, and all articles and responses to questions and other content, other than the content provided by the Good2Go, are solely the opinions and the responsibility of the person or entity providing those materials. These materials do not necessarily reflect the opinion of the Good2Go. We are not responsible, or liable to you or any third party, for the content or accuracy of any materials provided by any third parties.
19. Changes to the Services
We may update the Services, Service Content, and Good2Go Pro from time to time, but the Service Content is not necessarily complete or up-to-date. Accordingly, any of the Service Content may be out of date at any given time, and we are under no obligation to update such material.
20. Other Terms and Conditions
Additional terms and conditions may also apply to specific portions, services or features of the Services. All such additional terms and conditions are hereby incorporated by this reference into these Terms of Service.
21. Idea Submission Policy
Other than those we have specifically requested (and to which specific additional terms apply), our policy is not to accept or consider ideas or suggestions submitted by our users. We have adopted this policy in order to avoid confusion and misunderstandings in case that your ideas, suggestions, or other materials are similar to ones that have developed (or may develop) independently. Therefore, we are not responsible for any ideas, suggestions, or materials submitted to us. If you still choose to send us ideas, suggestions, or other materials, you agree that we are free to use these ideas, suggestions, or other materials in any way that it may deem fit without any liability or payment of any kind to you.
22. Social Media Features
The Services may provide certain social media features that enable you to:

Link from your own or certain third-party websites to certain content on the Services or through Good2Go Pro.

Send e-mails or other communications with certain content, or links to certain content, on the Services or Good2Go Pro.

Cause limited portions of content on the Services or Good2Go Pro to be displayed or appear to be displayed on your own or certain third-party websites.
You may use these features solely as they are provided by us, solely with respect to the content they are displayed with and otherwise in accordance with any additional terms and conditions we provide with respect to such features. We may disable all or any social media features and any links at any time without notice in our discretion.
23. Third-Party Sites and Services
The Services and Good2Go Pro may link to or may be accessed in connection with other sites, services, or resources that are provided by third parties. These links or the ability to access other sites, services, or resources from the Services or Good2Go Pro are provided for your convenience only. We have no control over the content of those sites, services, or resources, and accept no responsibility for them or for any loss or damage that may arise from your use of them. If you decide to access any of the third-party sites, services, or resources linked to or otherwise accessible from the Services or Good2Go Pro, you do so entirely at your own risk and subject to the terms and conditions of use and privacy policies for such sites.
24. Apple-Enabled App
Good2Go offers the Good2Go App for use on Apple iOS devices. If you access the Services using the Good2Go App that has been developed to run on Apple iOS devices (“Apple- Enabled App”), then Apple, Inc. and its subsidiaries (collectively, “Apple”) are third-party beneficiaries to these Terms of Service, entitled to enforce their terms against you with respect to the Apple-Enabled App (and you will be deemed to have accepted the right). Apple’s terms are available at its own website.
25. Geographic Restrictions
The owner of the Services (including Good2Go Pro) is based in the state of California in the United States. We provide the Services and Good2Go Pro for use only by persons located in the United States. We make no claims that the Services and Good2Go Pro, or any of their content, is accessible or appropriate outside of the United States. Access to the Services and Good2Go Pro may not be legal by certain persons or in certain countries. If you access the Services or Good2Go Pro from outside the United States, you do so on your own initiative and are responsible for compliance with local laws.
26. Disclaimer of Warranties
You understand that we cannot and do not guarantee or warrant that files available for downloading from the internet or the Services and Good2Go Pro will be free of viruses or other destructive code. You are responsible for implementing sufficient procedures and checkpoints to satisfy your particular requirements for anti-virus protection and accuracy of data input and output, and for maintaining a means external to our site for any reconstruction of any lost data. TO THE FULLEST EXTENT PROVIDED BY LAW, WE WILL NOT BE LIABLE FOR ANY LOSS OR DAMAGE CAUSED BY A DISTRIBUTED DENIAL-OF- SERVICE ATTACK, VIRUSES OR OTHER TECHNOLOGICALLY HARMFUL MATERIAL THAT MAY INFECT YOUR COMPUTER EQUIPMENT, COMPUTER PROGRAMS, DATA OR OTHER PROPRIETARY MATERIAL DUE TO YOUR USE OF THE SERVICES, SERVICE CONTENT, GOOD2GO PRO, OR OTHER ITEMS OBTAINED THROUGH THE SERVICES OR GOOD2GO PRO.
YOUR USE OF THE SERVICES, ITS SERVICE CONTENT, GOOD2GO PRO, AND ANY ITEMS OBTAINED THROUGH THE SERVICES AND/OR GOOD2GO PRO IS AT YOUR OWN RISK. THE SERVICES, SERVICE CONTENT, GOOD2GO PRO, AND ANY ITEMS OBTAINED THROUGH THE SERVICES AND/OR GOOD2GO PRO ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. NEITHER GOOD2GO NOR ANY PERSON ASSOCIATED WITH GOOD2GO MAKES ANY WARRANTY OR REPRESENTATION WITH RESPECT TO THE COMPLETENESS, SECURITY, RELIABILITY, QUALITY, ACCURACY OR AVAILABILITY OF THE SERVICES, SERVICE CONTENT, OR GOOD2GO PRO. WITHOUT LIMITING THE FOREGOING, NEITHER GOOD2GO NOR ANYONE ASSOCIATED WITH GOOD2GO REPRESENTS OR WARRANTS THAT THE SERVICES, THE SERVICE CONTENT, GOOD2GO PRO, OR ANY ITEMS OBTAINED THROUGH THE SERVICES AND/OR GOOD2GO PRO WILL BE ACCURATE, RELIABLE, ERROR-FREE OR UNINTERRUPTED, THAT DEFECTS WILL BE CORRECTED, THAT SERVICES ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS OR THAT THE SERVICES, SERVICE CONTENT, GOOD2GO PRO, OR ITEMS OBTAINED THROUGH THE SERVICES AND/OR GOOD2GO PRO WILL OTHERWISE MEET YOUR NEEDS OR EXPECTATIONS.
TO THE FULLEST EXTENT PROVIDED BY LAW, GOOD2GO HEREBY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, STATUTORY OR
OTHERWISE, INCLUDING BUT NOT LIMITED TO ANY WARRANTIES OF MERCHANTABILITY, NON-INFRINGEMENT AND FITNESS FOR PARTICULAR PURPOSE.
THE FOREGOING DOES NOT AFFECT ANY WARRANTIES WHICH CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.
27. Limitation on Liability
TO THE FULLEST EXTENT PROVIDED BY LAW, IN NO EVENT WILL GOOD2GO, ITS AFFILIATES, BUSINESS PARTNERS, OR THEIR LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS OR DIRECTORS BE LIABLE FOR DAMAGES OF ANY KIND, UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE, OR INABILITY TO USE, THE SERVICES, SERVICE CONTENT, GOOD2GO PRO, OR SUCH OTHER WEBSITES OR ANY SERVICES OR ITEMS OBTAINED THROUGH THE SERVICES, INCLUDING ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO, PERSONAL INJURY, PAIN AND SUFFERING, EMOTIONAL DISTRESS, LOSS OF REVENUE, LOSS OF PROFITS, LOSS OF BUSINESS OR ANTICIPATED SAVINGS, LOSS OF USE, LOSS OF GOODWILL, LOSS OF DATA, AND WHETHER CAUSED BY TORT (INCLUDING NEGLIGENCE), BREACH OF CONTRACT OR OTHERWISE, EVEN IF FORESEEABLE. IN NO EVENT WILL GOOD2GO’S TOTAL LIABILITY TO YOU IN CONNECTION WITH THE SERVICES EXCEED THE GREATER OF (1) THE AMOUNT YOU HAVE PAID TO GOOD2GO IN THE LEAST TWELVE (12) MONTHS; OR (2) FIVE-HUNDRED DOLLARS ($500 U.S.).
THE FOREGOING DOES NOT AFFECT ANY LIABILITY WHICH CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.
28. Indemnification and Release
You agree to indemnify and hold harmless the Good2Go, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms of Service or your use of the Services, including, but not limited to, your User Contributions, the Service Content, or Good2Go Pro, other than as expressly authorized in these Terms of Service or your use of any information obtained from the Services.
If you are a California resident, you waive California Civil Code Section 1542, which says: “A general release does not extend to claims which the creditor does not know or suspect to exist in his favor at the time of executing the release, which if known by him must have materially affected his settlement with the debtor.” If you are a resident of another jurisdiction, you waive any comparable statute or doctrine.
29. Governing Law
All matters relating to the Services, Good2Go Pro, and these Terms of Service and any dispute or claim arising therefrom or related thereto (in each case, including non- contractual disputes or claims), shall be governed by and construed in accordance with the internal laws of the State of California without giving effect to any choice or conflict of law provision or rule (whether of the State of California or any other jurisdiction).
Any legal suit, action or proceeding arising out of, or related to, these Terms of Service, the Services, or Good2Go Pro shall be instituted exclusively in the state or federal courts in the City and County of San Francisco although we retain the right to bring any suit, action or proceeding against you for breach of these Terms of Service in your state or country of residence. You waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts.
30. Dispute Resolution and Mandatory Arbitration
We each agree to first contact each other with any disputes and provide a written description of the problem, all relevant documents/information and the proposed resolution. You agree to contact us with disputes by contacting us by mail at Good2Go Inc., Attn: Legal, 540 Hampshire Street, San Francisco CA 94110. We will contact you based on the contact information you have provided us.
IF AFTER 30 DAYS THE PARTIES ARE UNABLE TO RESOLVE ANY DISPUTE RAISED UNDER THE PREVIOUS PROVISION, THE DISPUTE MAY ONLY BE SUBMITTED TO ARBITRATION CONSISTENT WITH THIS SECTION. THE PARTIES UNDERSTAND THAT THEY WOULD HAVE HAD A RIGHT OR OPPORTUNITY TO LITIGATE DISPUTES THROUGH A COURT AND TO HAVE A JUDGE OR JURY DECIDE THEIR CASE, BUT THEY CHOOSE TO HAVE ANY DISPUTES RESOLVED THROUGH ARBITRATION.
We each agree that any claim or dispute between us, and any claim by either of us against any agent, employee, successor, or assign of the other, including, to the full extent permitted by applicable law, third parties who are not signatories to this agreement, whether related to this agreement or otherwise, including past, present, and future claims and disputes, and including any dispute as to the validity or applicability of this arbitration clause, shall be resolved by binding arbitration administered by the JAMS under its rules and procedures in effect when the claim is filed. The rules and procedures and other information, including information on fees, may be obtained from JAMS’ website (www.jamsadr.com) or by calling JAMS at 949-224-1810.
We are entering into this arbitration agreement in connection with a transaction involving interstate commerce. Accordingly, this arbitration agreement and any proceedings thereunder shall be governed by the Federal Arbitration Act (“FAA”), 9 U.S.C. §§ 1–16. Any award by the arbitrator(s) may be entered as a judgment in any court having jurisdiction.
Exception to Arbitrate. Either of us may bring qualifying claims in small claims court. Further, as set forth below, we each agree that any arbitration will be solely between you and Good2Go, not as part of a class-wide claim (i.e., not brought on behalf of or together with another individual's claim). If for any reason any court or arbitrator holds that this
restriction is unconscionable or unenforceable, then our agreement to arbitrate doesn't apply and the class-wide dispute must be brought in court.
31. No Class Actions
To the extent allowed by law, we waive any right to pursue disputes on a class-wide basis; that is, to either join a claim with the claims of any other person or entity or assert a claim in a representative capacity on behalf of anyone else in any lawsuit, arbitration, or other proceeding.
32. No Trial by Jury
TO THE EXTENT ALLOWED BY LAW, WE EACH WAIVE ANY RIGHT TO TRIAL BY JURY IN ANY LAWSUIT, ARBITRATION OR OTHER PROCEEDING.
33. Limitation on Time to File Claims
ANY CAUSE OF ACTION OR CLAIM YOU MAY HAVE ARISING OUT OF OR RELATING TO THESE TERMS OF SERVICE, THE SERVICES, AND/OR GOOD2GO PRO MUST BE COMMENCED WITHIN ONE (1) YEAR AFTER THE CAUSE OF ACTION ACCRUES, OTHERWISE, SUCH CAUSE OF ACTION OR CLAIM IS PERMANENTLY BARRED.
If any provision of these Terms of Service is held by a court or other tribunal of competent jurisdiction to be invalid, illegal or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms of Service will continue in full force and effect. So, for example, if a provision in these terms is found to be unenforceable, we agree an arbitrator (or, if permitted, a court) shall only strike that provision and that the remaining terms of these Terms of Service shall remain in force.
34. No Assignment; Waiver and Severability
You may not assign these Terms of Service without Good2Go’s prior written consent and any purported assignment in violation of these Terms of Service shall be void.
No waiver of by the Good2Go of any term or condition set forth in these Terms of Service shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of the Good2Go to assert a right or provision under these Terms of Service shall not constitute a waiver of such right or provision.
35. Entire Agreement
The Terms of Service (including our Privacy Policy and any other Additional Terms incorporated by reference) constitute the sole and entire agreement between you and Good2Go with respect to the Services and Good2Go Pro and supersede all prior and
contemporaneous understandings, agreements, representations and warranties, both written and oral, with respect to the Services and Good2Go Pro.
36. Notices to You
We may provide notice to you either by posting on our website, sending a general notice to you through the Services, through your Good2Go Advocate Account, notifying you by email, or by sending you notice through first-class or regular mail. Such notices shall be deemed to have been given (a) twenty-four (24) hours after such notice is posted on our website, sent by email, or sent through our Services, or (b) forty-eight (48) hours after mailed (if sent by first class regular mail).
